Hyalite Capital Partners LLC (“the Fund”) is a private investment vehicle structured as a multi-member LLC. The Fund pools capital from its members to invest in brokerage accounts and other passive investments. The Fund offers membership interests, which are securities, under an exemption from registration provided by Rule 506(b) of Regulation D of the Securities Act of 1933.

 

This offering is made only to a select group of known individuals with whom the Fund or its managers have a pre-existing relationship. The Fund may admit up to 35 non-accredited investors who meet suitability requirements and who are provided with appropriate disclosures prior to investment.

 

Despite our tagline “A Hedge Fund for All-Net-Worth Individuals,” Hyalite Capital Partners LLC is not a registered hedge fund or investment advisor. The Fund is not subject to the same regulatory requirements as mutual funds or registered hedge funds.
